Terms & conditions.

The ground rules for working with Codvyx — written so a founder can read them between meetings, not a lawyer between coffees.

Who these terms are with

“Codvyx”, “we” and “the studio” refer to the team operating codvyx.com from Jaipur, Rajasthan, India. “You” and “the client” refer to the individual or organisation engaging Codvyx for services or browsing the website.

These terms govern your use of codvyx.com and any engagement you enter into with the studio. Where a separate Statement of Work or Master Services Agreement has been signed, that document controls in case of conflict.

Acceptance

By using codvyx.com, submitting an enquiry, or commissioning work from us, you confirm that you have read these terms and agree to them on behalf of yourself or the entity you represent.

If you do not agree, please do not use the site or engage our services.

Scope of services

Codvyx provides design, engineering, and supporting services for digital products — including websites, mobile applications, custom software and SaaS platforms, e-commerce solutions, UI/UX design, SEO, and post-launch support.

The exact deliverables, timeline, technology stack, acceptance criteria, and price for each engagement are defined in a written Statement of Work signed by both parties before work begins.

Payments and invoicing

Engagements are billed in milestones unless agreed otherwise. Invoices are payable within seven days of issue in the currency stated on the invoice (INR for Indian clients; USD, GBP, EUR or AUD for international clients by prior arrangement).

Late payments accrue interest at 1.5% per month, compounded monthly, from the due date. We may pause active work after invoices are 14 days overdue and resume on receipt of payment.

Refunds are handled under the separate Refund Policy.

Intellectual property

On full payment of the relevant milestone, all custom source code, design files, copy, and original assets created specifically for your project transfer to you. You receive an unencumbered licence to use, modify, and redistribute them as you wish.

Third-party assets (open-source libraries, paid plugins, stock media, fonts) remain governed by their original licences. We will tell you which assets fall in this category before they are added.

Codvyx retains the right to display non-confidential project work in our portfolio and case studies, unless your Statement of Work specifies otherwise.

Client responsibilities

To keep an engagement on track we ask that you nominate a single decision-maker, respond to review requests within five business days, and provide content, brand assets, and account access in the formats agreed during discovery.

Delays caused by client-side blockers may extend the timeline and, where they require us to re-allocate team capacity, may attract a re-scheduling fee documented in your Statement of Work.

Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement — strategy, roadmaps, code, customer data, financials — for as long as it remains confidential.

We are happy to sign your NDA before discovery, or to use ours. Either way, mutual confidentiality is the default.

Warranties and disclaimers

We deliver work in good faith and at a professional standard. For 60 days after launch we fix any bug attributable to our work, free of charge.

Beyond that warranty, the site, deliverables, and services are provided “as is”. To the maximum extent permitted by Indian law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

Limitation of liability

To the extent permitted by law, the total liability of Codvyx for any claim arising out of or related to an engagement — whether in contract, tort, or otherwise — is capped at the total fees paid by you to Codvyx for that engagement in the 12 months preceding the claim.

Neither party is liable to the other for indirect, incidental, or consequential damages, including loss of profit, revenue, data, or goodwill.

Termination

Either party may terminate an engagement with 15 days' written notice. Termination triggers the reconciliation described in our Refund Policy and the orderly handover of completed work, source code, and credentials.

We may terminate immediately if you materially breach these terms — for example, non-payment for 30+ days, infringement of third-party rights, or use of our work for illegal purposes.

Acceptable use of the website

You agree not to attempt to compromise the security of codvyx.com, scrape it at a volume that disrupts service, reverse-engineer it for the purpose of building a competing product, or use it for unlawful activity.

We may block access from clients or IPs engaged in such behaviour without notice.

Governing law and disputes

These terms are governed by the laws of India. Any dispute arising under them will be subject to the exclusive jurisdiction of the courts at Jaipur, Rajasthan.

Before commencing litigation, both parties agree to attempt to resolve disputes in good faith through written discussion, escalating to a mutually-agreed mediator if required.

Changes

We may update these terms occasionally to reflect changes in the law or in how the studio operates. The version in effect when your Statement of Work was signed continues to govern that engagement.

The current version is always available at codvyx.com/terms. The date at the top of this page reflects the most recent revision.
